Terms of Service

1. Agreement to Terms

By accessing or using the NightOwl Systems website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services. These terms apply to all visitors, users, and clients of NightOwl Systems.

2. Services Description

NightOwl Systems provides AI-powered business automation services including, but not limited to, AI voice agents, AI text and conversation automation, CRM workflow automation, custom integrations, reporting and analytics, and operational automation. Specific services, deliverables, timelines, and pricing are defined in individual service agreements between NightOwl Systems and each client.

3. Client Responsibilities

As a client of NightOwl Systems, you agree to:

  • Provide accurate and complete information about your business, workflows, and requirements
  • Grant reasonable access to systems, tools, and platforms necessary for integration
  • Respond to requests for information, approvals, and feedback in a timely manner
  • Use the automation systems we build in compliance with applicable laws and regulations
  • Not reverse-engineer, copy, or redistribute proprietary systems or workflows we develop

4. Intellectual Property

All content on the NightOwl Systems website, including text, graphics, logos, and design, is the property of NightOwl Systems and protected by intellectual property laws.

Custom automation systems built for clients are governed by the terms of the individual service agreement. Unless otherwise specified, clients receive a license to use the systems we build for their business operations.

5. Payment Terms

Payment terms, schedules, and amounts are defined in individual service agreements. Unless otherwise stated, invoices are due within 15 days of issuance. Late payments may incur a fee of 1.5% per month on the outstanding balance. NightOwl Systems reserves the right to suspend services for accounts with overdue balances exceeding 30 days.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This includes business data, customer information, technical specifications, and financial details. Confidentiality obligations survive the termination of any service agreement.

7. Limitation of Liability

NightOwl Systems provides automation services on an “as-is” basis and makes no guarantees regarding specific business outcomes, revenue increases, or performance metrics unless explicitly stated in a service agreement. NightOwl Systems's total liability for any claim arising from our services shall not exceed the total fees paid by the client in the 12 months preceding the claim.

8. Termination

Either party may terminate a service agreement with 30 days written notice, unless otherwise specified in the agreement. Upon termination, NightOwl Systems will provide reasonable assistance in transitioning systems and data. Fees for work completed prior to termination remain due and payable.

9. Dispute Resolution

Any disputes arising from these terms or our services will be resolved through good-faith negotiation. If negotiation fails, disputes will be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will take place in the state where NightOwl Systems is headquartered.

10. Changes to These Terms

We reserve the right to update these terms at any time. Changes will be posted on this page with an updated date. Continued use of our website or services after changes are posted constitutes acceptance of the revised terms.
